1. Acceptance of These Terms
These Terms of Use (“Terms”) govern access to and use of spark-and-logic.com, its subdomains, and any client or counterparty portal made available through it (collectively, the “Site”). The Site is operated by Spark & Logic Equity Partners LLC (“Spark & Logic”), a mergers and acquisitions advisory firm serving founder-led software and technology companies.
By accessing or using the Site, you agree to be bound by these Terms and by our Legal Statement, which is incorporated herein by reference. Registration for a portal account requires affirmative acceptance of these Terms. If you do not agree to these Terms, do not access or use the Site.
Our Privacy Policy describes how personal information is handled and is provided as a notice rather than as a contractual obligation.
If you access the Site on behalf of an entity, you represent that you are authorized to bind that entity, and references to “you” include both you and that entity. The Site is intended for business and professional use by persons at least 18 years of age.
2. Informational Purpose; No Advisory Relationship
Content made available on the Site is provided for general informational purposes only. It does not constitute investment, legal, tax, accounting, or financial advice, and it does not constitute an offer to sell or a solicitation of an offer to buy any security.
Access to the Site, submission of an inquiry, creation of an account, or correspondence with our personnel does not create an advisory, fiduciary, agency, brokerage, or client relationship with Spark & Logic. An engagement arises only upon execution of a written engagement agreement. Please review our Legal Statement for regulatory disclosures, including disclosures regarding our reliance on the M&A broker exemption and the basis on which we are compensated.
3. Accounts and the Client Portal
Certain areas of the Site are restricted to registered users, including clients, prospective clients, buyers, investors, and their respective representatives (the “Portal”).
You agree to provide accurate and current information upon registration and to maintain the confidentiality of your credentials. You are responsible for all activity conducted through your account. Credentials may not be shared, and you may not access any account other than your own. Suspected unauthorized use should be reported immediately to patrick@spark-and-logic.com.
Portal access is personal to you and is granted solely for the purpose of evaluating, negotiating, or executing a transaction in which you or your organization is a participant, or for the administration of an existing engagement. Spark & Logic may suspend, restrict, or terminate any account at any time, including upon the conclusion or breach of a related engagement or confidentiality agreement.
4. Confidential Materials
Materials made available through the Portal or otherwise furnished by Spark & Logic may contain confidential and proprietary information belonging to Spark & Logic or to our clients, including financial statements, projections, customer data, operating metrics, confidential information memoranda, management presentations, and transaction documents (“Confidential Materials”).
Where you have executed a confidentiality or non-disclosure agreement to which Spark & Logic is a party, the obligations of this Section are in addition to, and not in limitation of, that agreement, and the more protective obligation controls. In all cases, and whether or not such an agreement is in place, you agree that you will not:
disclose Confidential Materials to any person other than your representatives who require the information for the permitted evaluation and who are bound by equivalent obligations of confidentiality;
use Confidential Materials for any purpose other than evaluation of the applicable transaction;
use Confidential Materials to solicit, recruit, or hire employees of, or to interfere with the customer or supplier relationships of, any company described therein;
copy, download, republish, or redistribute Confidential Materials except as reasonably necessary for the permitted evaluation; or trade in the securities of any company on the basis of material non-public information obtained through the Site.
These obligations survive the termination of your account and of your use of the Site. Clients of Spark & Logic whose Confidential Materials are made available through the Site are express third-party beneficiaries of this Section and may enforce it directly.
5. Permitted and Prohibited Use
Subject to your compliance with these Terms, Spark & Logic grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal business purposes. All rights not expressly granted are reserved.
You may not: use the Site for any unlawful purpose; attempt to obtain unauthorized access to any portion of the Site, any account, or any connected system; probe or test the security of the Site or circumvent any authentication measure; employ any robot, scraper, crawler, or other automated means to access or extract Site content; use the Site or its contents to train or develop any machine learning or artificial intelligence model absent our written authorization; reverse engineer any portion of the Site; introduce any malicious code; impersonate any person or misrepresent your affiliation; interfere with the operation of the Site; or remove or alter any proprietary notice.
6. Intellectual Property
The Site and its contents, including text, graphics, logos, design, software, methodologies, research, and data compilations, are owned by Spark & Logic or its licensors and are protected by United States and international intellectual property laws. “Spark & Logic” and the Spark & Logic logo are marks of the firm and may not be used without prior written consent.
No license is granted to reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any portion of the Site. Third-party names and marks appearing on the Site remain the property of their respective owners and are subject to Section 9 of our Legal Statement.
7. Submissions
If you transmit information to us through the Site, including by contact form, intake form, document upload, or the Portal (“Submissions”), you represent that you are entitled to provide that information and that doing so violates no law, contract, or third-party right.
You grant Spark & Logic a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process Submissions for the purpose of evaluating and providing services to you, administering the applicable engagement, and complying with legal obligations. This license does not extend to Confidential Materials or to client company or transaction information, which are not used to operate, develop, or improve the Site or our systems. Any use of Submissions to improve the Site or our systems is limited to aggregated or de-identified information.
Spark & Logic does not accept unsolicited business ideas, proposals, or materials outside of a defined engagement or confidentiality process. Any such materials are received on a non-confidential basis and create no obligation on our part.
8. Artificial Intelligence
Spark & Logic employs proprietary and third-party artificial intelligence systems to support research, analysis, document preparation, and workflow automation. Output generated by such systems is reviewed by our professionals before it is relied upon in connection with any engagement. Content on the Site, including output derived from such systems, may contain errors or omissions and is not a substitute for independent verification or professional advice.
9. Third-Party Sites and Services
The Site may link to or integrate with third-party websites, platforms, or services. Spark & Logic does not control and is not responsible for the content, accuracy, availability, security, or privacy practices of any third party. The presence of a link does not constitute an endorsement.
10. Forward-Looking Information
The Site may contain forward-looking statements, market commentary, valuation observations, and transaction data. Such information reflects our views as of the date published, is derived from sources believed to be reliable but not independently verified, and is subject to change without notice. Past transactions and results are not indicative of future outcomes.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SPARK & LOGIC DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPARK & LOGIC AND ITS PRINCIPALS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). WHERE A SEPARATE WRITTEN ENGAGEMENT AGREEMENT IS IN EFFECT, THE LIABILITY PROVISIONS OF THAT AGREEMENT CONTROL AS TO THE SUBJECT MATTER OF THAT ENGAGEMENT.
Nothing in Section 11, this Section, or Section 15 limits or waives any right or remedy that may not be limited or waived under applicable law. Certain jurisdictions do not permit the exclusion of implied warranties or the limitation of liability, and accordingly portions of these provisions may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Spark & Logic and its principals, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your breach of these Terms, your violation of any law or third-party right, including any unauthorized disclosure of Confidential Materials, or any Submission provided by you.
14. Term and Termination
Spark & Logic may modify, suspend, or discontinue the Site or any portion of it, and may terminate or restrict access, at any time and without notice or liability. Sections 2, 4, 5, 6, 7, 8, 10, 11, 12, 13, 15, and 16 survive any termination.
15. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any action or proceeding shall be brought exclusively in the state or federal courts located in the State of Delaware, and each party consents to the personal jurisdiction of those courts and waives any objection to venue.
To the fullest extent permitted by law, each party waives any right to trial by jury and agrees that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Any claim arising out of or relating to these Terms or the Site must be filed within one year after the claim arose.
16. General
These Terms, together with the Legal Statement, constitute the entire agreement between you and Spark & Logic regarding the Site. Where a separate written engagement agreement or confidentiality agreement is in effect, that agreement controls as to its subject matter, subject to Section 4.
Spark & Logic may update these Terms by posting a revised version bearing a new effective date. Continued use of the Site following the effective date constitutes acceptance.
If any provision is held unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force. Failure to enforce any provision does not constitute a waiver. You may not assign these Terms without our prior written consent; Spark & Logic may assign them without restriction. Except as provided in Section 4, these Terms confer no rights upon any person other than you and Spark & Logic.
You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive United States sanctions, and that you are not identified on any United States government restricted-party list. Spark & Logic is not liable for any failure or delay in performance resulting from causes beyond its reasonable control.
