Privacy Policy

Effective September 2, 2026

1. Scope

Spark & Logic Equity Partners LLC (“Spark & Logic”) is a mergers and acquisitions advisory firm serving founder-led software and technology companies. This Privacy Policy describes how we collect, use, disclose, and protect personal information in connection with spark-and-logic.com, its subdomains, and any client or counterparty portal made available through it (collectively, the “Site”), and in connection with our advisory services.

This Policy applies to business contacts, prospective and current clients, buyers and investors and their representatives, website visitors, and applicants for employment.

A substantial portion of the information we handle consists of confidential business information belonging to our clients rather than personal information relating to individuals. The treatment of that information is addressed in Section 5.

Use of the Site is governed by our Terms of Use, which contain the governing law, forum, and limitation of liability provisions applicable to the Site, and by our Legal Statement.

2. Information We Collect

Information you provide. Name, business email address, telephone number, company, title, and the substance of your inquiry, submitted through our contact and intake forms or provided by email, telephone, or meeting.

Company and transaction information. Financial statements, revenue and growth metrics, customer and contract data, capitalization details, projections, operating information, and other materials furnished in connection with a prospective or active engagement.

Portal account information. Username, password stored in hashed form, account role and permissions, organizational affiliation, access history, and documents uploaded through the Portal or a virtual data room.

Agreement and compliance information. Signatory details, confidentiality agreement records, identity verification and sanctions screening information where required, and payment or wire instructions.

Information collected automatically. Standard technical information, including IP address, browser type and version, operating system, referring URL, pages viewed, and date and time of access, used for security, troubleshooting, and understanding aggregate usage.

Information from other sources. In the ordinary course of advisory work we obtain information regarding companies and their principals from our clients, from prospective counterparties and their representatives, from publicly available sources, from commercial business and market intelligence databases, from professional networks, and from referral sources including attorneys and accountants.

3. Use of Information

We use personal information to respond to inquiries and assess prospective engagements; to provide advisory services, including research, buyer identification, valuation analysis, preparation of marketing materials, and transaction execution; to establish, administer, and secure Portal accounts and control access to confidential materials; to communicate regarding engagements, transactions, and market developments; to distribute newsletters and firm communications where you have subscribed, each of which contains an unsubscribe facility; to operate, maintain, and secure the Site and our internal systems; to conduct identity, sanctions, and conflicts screening; to maintain business records, enforce our agreements, and establish or defend legal claims; and to comply with applicable law.

Artificial intelligence. Spark & Logic employs proprietary and third-party artificial intelligence systems to support research, analysis, document drafting, and workflow automation. For services through which confidential client information is processed, we contract for enterprise or business terms under which the provider does not use our inputs or outputs to train its general-purpose models, and we maintain internal restrictions governing what information may be processed through third-party services. Output is reviewed by our professionals prior to use. We do not make decisions producing legal or similarly significant effects concerning individuals by solely automated means.

4. Disclosure of Information

Spark & Logic does not sell personal information and does not share personal information for cross-context behavioral advertising. We disclose information in the following circumstances:

Service providers. Hosting, email, cloud storage, virtual data room, customer relationship management, electronic signature, security, accounting, and information technology providers, each of which processes information on our behalf under contractual confidentiality and security obligations.
Transaction counterparties. In connection with an active engagement and at the direction of the applicable client, company and transaction information is furnished to prospective counterparties and their representatives, following execution of a confidentiality agreement and in accordance with the disclosure sequencing and approvals established by our client.
Professional advisors. Attorneys, accountants, tax advisors, quality of earnings providers, insurers, and comparable professionals engaged in connection with a transaction or with our own business.
Legal and regulatory disclosure. Where required by law, subpoena, court order, or governmental or regulatory request, or where disclosure is necessary to protect our rights, enforce our agreements, or prevent fraud or harm.
Corporate transactions. In connection with a merger, financing, reorganization, or sale of all or part of our business, subject to appropriate confidentiality protections.

5. Confidential Client and Transaction Information

Information concerning our clients’ businesses and concerning contemplated or active transactions is treated as strictly confidential.

Access is limited to personnel and advisors requiring the information for the engagement. Confidential materials are disclosed to third parties only under a confidentiality agreement and only with client authorization, and in all cases remain subject to the confidentiality obligations set forth in our Terms of Use. We maintain information barriers between engagements where circumstances warrant. We do not disclose the identity of a client or the existence of a contemplated transaction without authorization except as required by law. Personnel in receipt of material non-public information are subject to internal restrictions on trading in affected securities. These obligations survive the conclusion of an engagement.

Where an engagement agreement or confidentiality agreement imposes obligations more stringent than this Policy, those obligations control.

6. Information Security

Spark & Logic maintains administrative, technical, and physical safeguards designed to protect personal information and confidential materials. Depending on the system and the sensitivity of the information, these may include encryption in transit and at rest, role-based access controls, multi-factor authentication, logging and monitoring, vendor security review, and confidentiality obligations and training for personnel.

No method of transmission or storage is entirely secure and absolute security cannot be guaranteed. Highly sensitive materials should not be transmitted by unencrypted email; the Portal or another secure channel established by us should be used instead. Suspected compromise of an account should be reported immediately to patrick@spark-and-logic.com.

7. Cookies and Similar Technologies

The Site uses cookies that are strictly necessary for its operation, including session management, Portal authentication, and security, together with cookies that record display preferences and, where enabled, cookies that assist us in understanding aggregate usage patterns.

We do not use cookies for advertising or cross-site tracking. Should that change, this Policy will be updated and consent obtained where required. Most browsers permit cookies to be refused or deleted; blocking strictly necessary cookies may prevent portions of the Site, including the Portal, from functioning.

8. Retention

Personal information is retained for so long as necessary for the purposes described in this Policy and to satisfy our legal, tax, accounting, and recordkeeping obligations and to establish or defend legal claims.

Engagement and transaction records are ordinarily retained for not less than seven years following the conclusion of the engagement. Business contact and subscription information is retained until you unsubscribe or request deletion. Portal account data is retained while the account remains active and for a reasonable period thereafter. Technical logs are retained for a limited period. Recruiting materials are retained for a reasonable period following a hiring decision. Information no longer required is deleted or rendered anonymous.

9. Individual Rights

Subject to applicable law, you may request that we confirm what personal information we hold concerning you and provide a copy; correct inaccurate or incomplete information; delete your information; cease sending marketing communications; or restrict or cease certain processing. We will not discriminate against any person for exercising these rights.

Requests may be submitted to patrick@spark-and-logic.com. We will take reasonable steps to verify identity before acting upon a request, ordinarily by confirming information already in our records or confirming control of the associated email address, and will respond within the period required by applicable law.

We may decline or limit a request where an exception applies, including where the information is subject to confidentiality obligations owed to a client or is required to be retained for legal or recordkeeping purposes, and will state the basis for any such determination. Should you wish to appeal, you may reply to our response or write to the address above with “Appeal” in the subject line. We will review the appeal and communicate our decision and its reasons in writing.

10. California Residents

Under the California Consumer Privacy Act, as amended, California residents have the right to know what personal information is collected, to request its deletion or correction, and to opt out of the sale or sharing of personal information.

In the preceding twelve months we have collected identifiers, information described in the California Customer Records statute, commercial information, internet and electronic network activity information, professional and employment-related information, and inferences drawn therefrom. The sources, purposes, and recipients are described in Sections 2, 3, and 4.

Spark & Logic does not sell personal information and does not share personal information for cross-context behavioral advertising. Personal information relating to individuals acting in a business capacity, and personal information of job applicants, is treated in the same manner as other personal information under this Policy. Requests may be submitted through an authorized agent, subject to verification. Complaints may be directed to the California Privacy Protection Agency or the California Attorney General.

Spark & Logic is established in the United States and its service providers may be located in the United States and other jurisdictions. Personal information provided from outside the United States will be transferred to and processed in the United States, where data protection laws may differ from those of your jurisdiction.
